As part of our terms and service, we are including a Non-Disclosure Agreement (NDA) to safeguard business information that could be used to benefit other companies. This also ensures a mutual commitment to privacy and confidentiality between only the team members and parties involved.

 Confidential Information:
The term "Confidential Information" refers to any non-public information, knowledge, or data disclosed by the Disclosing Party to the Receiving Party in connection with modeling or any related business activities. Confidential Information may include but is not limited to, Company/Business strategies, Marketing plans, and any other information not generally known to the public.

INTRODUCTION

​1. Eligibility

1.1 Models must be [16+] years of age or older to be eligible for representation by the Agency.  Models under the Age of 18 must have The Parent/Guardian sign on behalf of the individual followed by a meeting with the party.

3. Representation

Those apart of our agency will be under Non-Exclusive Representation  by Hermensvalid at an exchange of 30% commission off contracts. “In order for this to work though, all I ask is that you trust in my judgments when guiding you for I only wish you the best”- Hermen Acheampong. Models will be signed to 1-2-year contracts that can be extended upon discussion once the expiration date is near.
4. Model Responsibilities

Outline the responsibilities and obligations of models, including professionalism, availability, and adherence to agency guidelines.

5. Payment and Commissions

HVD Model perks include access to potential exclusive paid runway shows,  cost-covered high-profile photo shoots , networking opportunities with industry professionals, and the chance to collaborate with renowned designers and brands.
If signed, models will be given a contract to sign that will disclose more information needed including payment options, transportation, and safety.

6. Acceptance Letter and Forms

If signed, models must sign the Model Representation Agreement, Non-Disclosure Agreement (NDA), Parental Consent Form (IF NEEDED), Image Release Form, Model's Health and Wellness Agreement, Model Profile and Information Form, Exclusive Representation Agreement, Payment Authorization Form and Independent Contractor Agreement.

6. Termination

There is no room for disrespect to anyone on team HVD. We stand firm on our motto "The Family". This goes both ways starting from our board members. Unprofessional conduct, behavior that could negatively affect HERMENSVALID's reputation, and failure to abide by the terms discussed will result in immediate termination. Failure to adhere to contractual obligations, such as exclusive representation agreements, will also lead to termination. Additionally, uncooperative or uncommunicative behavior with clients or agency staff, disregard for contractual terms, and violation of ethical standards can all be grounds for termination especially if it is excessive. Ultimately, maintaining professionalism, reliability, and a positive reputation is crucial to sustaining a successful relationship between a model and their representing agency.
